PS2 versus SM3 - Clarification please

Just to clarify in my own understanding.

If ATI do not support SM3 is there anything that SM3 offers that cannot be done in more passes with PS2?

In other words will the ATI card have a fallback position that gives it equivalent IQ albeit using more passes to achieve that IQ?

Yes all the vertex texture stuff can't be done in PS2 or VS2 and you can't just simple fall back to more passes the developers have manually decompose the shaders which could get really painful espically things that have to do with loops.
