Get the S939 setup. All the new A64 will only use the S939 mobos. The 3700+ is the last high end A64 for the S754.
 
I'd stick with the Athlon64 3000+ or 3200+, whatever you prefer to spend more money on. Both are very good, and will last you for a good while, in terms of power and such.

You would most likely want to stay with the S939 boards, for the future that is. 754 pin boards are only going to be useful for budget systems (Sempron) which is not in the price range you are looking towards.

the MSI Neo Platnum you have is VERY good, and any OEM processor paired with the heatsink mentioned before (The 15$ Kingwin HSF) is a very good choice for a 3000+/3200+, especially if you aren't thinking of overclocking at all.

All your parts seem good, but what is the ram that you have in your system now?
