Given that the next-gen Geforce and Radeon cards will be out in a couple of months, I'd hold off. I built a pretty good comp a couple of months ago and put a 2400 Pro in there until the next gen comes out. Cheap, does the job, and allows me to upgrade to a card fitting of my system.
I'd upgrade the PS as well. 400W? Yikes....
As for cooling, if you want to overclock, get the Thermalright Ultra 120 Extreme. It's allowed me to get my B3 Q6600 up to 3.42Ghz stable, and 3.51Ghz stable when the weather isn't too hot.
